WalterFedy is seeking a dynamic and highly motivated finance professional to join our senior leadership team.  Reporting to our CEO, the Director of Finance will join our Core Leadership Team providing forward-looking financial leadership for the firm.  We believe that people, technology, and finance are three key domains that we must leverage to differentiate ourselves from our competition.

We are seeking a strategically minded finance professional to help us unlock the un-tapped potential of our balance sheet enabling us to continue to grow our business in a sustainable way. Candidates must be strategically oriented, a strong communicator, a self-starter, entrepreneurial, comfortable working independently and in teams.

What You Will Do

Forward-Looking Financial Planning and Management:

    • Liquidity management balancing near-term working capital needs with management of the cash-flow cycle
    • Capital management targeting long-term balance sheet positioning while optimizing capital structure
    • Management of lender relationships and financing terms including term loans, letters of credit, revolvers, and other commercial banking products
    • Support our Business Unit Leaders (BULs) and other senior leaders in building financial models for our businesses and analyzing various investment opportunities

Corporate/Shareholder Finance:

    • Manage the pre-existing Shareholder Share Financing Program with our lending institution
    • Evaluation of alternative share-financing programs
    • Tax planning strategies for the transfer of shares and Shareholder remuneration
    • Evaluation of the current ownership model and finance-related alignment with our corporate vision and goals 
    • Manage the trade-off between realizing value today and building equity in the company through growth
    • Maintain the balance sheet and financing flexibility to be able to opportunistically pursue acquisitions
    • Manage the shareholder equity plan including pricing, vesting, succession, share buybacks, and treasury
    • Explore variable compensation schemes and align incentives to attract new talent that may not want to participate in the equity plan 

Mergers and Acquisitions:

    • Valuation and returns assessment
    • Scenario and sensitivity analysis (financial modeling)
    • Negotiation of commercial terms
    • Deal financing terms and structuring (carve-out/corporate)
    • Commercial review of legal documents:
    • Share Purchase Agreement
    • Terms of employment (non-compete/non-solicit/deferred payout)
    • Shareholder Agreement
    • Support of post-acquisition operational integration
    • Support of post-acquisition operational integration
    • Support organizational development activities driven by integration efforts.

What You Bring to the Table

  • Minimum of 5 years experience in a similar finance-related role in a privately held business, private equity, investment banking, or commercial lending setting
  • Formal education in finance is required (eg. accounting, economics, business finance)
  • An MBA would be considered an asset
  • The successful candidate will play a significant role in our future merger and acquisition activities (M&A). Past M&A experience is required

About WalterFedy and AEC 

Founded in 1951, WalterFedy is a multi-disciplinary architectural and engineering firm based in Kitchener Ontario, with additional offices in Hamilton and Toronto.  With 260 employees, we have grown rapidly through the pandemic, posting net revenue growth of 10% in 2020, 12 % in 2021 and over 25% in 2022. Earlier in 2022, we closed on our first acquisition (not included in revenue growth totals) of Baird Sampson Neuert Architects in Toronto. In the coming years, our Board of Directors has set an ambitious plan to continue to grow in new markets outside of Ontario leveraging organic M&A growth strategies. BSN is currently operating as a stand-alone business as we work through the steps on integrating our full architectural team.  While our recent growth and M&A activities have all been cash financed, we recognize that continuing this path will require us to leverage different financing strategies to support our growth objectives. 

AEC, our Construction Management business, was formed in 2014 after 40 years of delivering CM services under the WalterFedy brand.  AEC is a small regional construction management firm with aspirations of growth in specific market segments in the coming years.  Our Core Leadership Team, consisting of CEO, COO, Director of Finance, Controller, Director of BD, Director of HR, and Director of Innovation, are all currently WalterFedy employees but support all three businesses (WalterFedy, BSN and AEC).
